This Service Agreement is a binding contract between PT Ahli Web Internasional ("AhliWeb") and the customer ("you" or "Client") using our services.
1. Parties
Service Provider: PT Ahli Web Internasional, operating as AhliWeb, provides integrated digital services in Indonesia.
Client: Individual or business entity that registers and uses AhliWeb services.
2. Scope of Services
AhliWeb provides services per the agreed package or proposal, including but not limited to:
- Website design and development
- Hosting and server management
- Maintenance and technical support
- Cyber security services
- Digital and ERP consulting
3. AhliWeb Obligations
- Provide services per agreed specifications
- Provide technical support per applicable SLA
- Maintain confidentiality of client data and information
- Notify clients of significant service changes
4. Client Obligations
- Pay service fees per agreed schedule
- Provide access and information needed for service delivery
- Use services per applicable AUP and terms
- Notify AhliWeb of service requirement changes
5. Payment
Payment is made based on invoices issued by AhliWeb. Payment delays exceeding 7 business days may result in service suspension. A 2% per month late payment fee may be charged.
6. Confidentiality
Both parties must maintain confidentiality of business, technical, and commercial information shared during the cooperation period and for 2 years after the agreement ends.
7. Intellectual Property Rights
Deliverables become client property upon full payment. AhliWeb retains rights to generic components, frameworks, libraries, and code developed before or outside this contract.
8. Term and Termination
The agreement is effective from the date of signing or first payment, and continues until either party provides 30 days prior termination notice. Unilateral termination without valid reason does not eliminate payment obligations already due.
9. Dispute Resolution
Disputes will first be resolved through deliberation. If no agreement within 30 days, disputes are submitted to the Indonesian National Arbitration Board (BANI) or competent court.
